1. Acceptance of Terms

By accessing or using metracorelabs.com (the "Site") operated by Metracore Labs ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Site or purchase any products.

2. Research Use Only

All products sold by Metracore Labs are supplied strictly as reference materials for in-vitro laboratory research by qualified researchers. Our products are not drugs, dietary supplements, food, cosmetics, or medical devices. They have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease. You agree not to administer, ingest, inject, or otherwise consume any product, and not to allow any product to be used on humans or animals.

3. Eligibility & Account-Required Access

You must be at least 21 years of age to use the Site or purchase from Metracore Labs. Access to product information, pricing, the catalog, and checkout requires a registered account and a signed Research Attestation on file for the current policy version. By placing an order you represent and warrant that all statements made during account creation, attestation, and checkout are true and accurate.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity on your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms, misrepresent identity, or attempt to acquire products for non-research purposes.

5. Orders, Pricing & Payment

All orders are subject to acceptance and product availability. Prices, availability, and specifications may change without notice. We reserve the right to refuse or cancel any order, including after payment, if we suspect fraud, misrepresentation, or a violation of these Terms. Applicable taxes and shipping charges are calculated at checkout.

6. Shipping & Returns

Shipping is governed by our Shipping Policy. Refunds and replacements are governed by our Refund Policy. Both are incorporated into these Terms by reference.

7. Prohibited Uses

You agree not to: (a) resell products without authorization; (b) use the Site or products in violation of any applicable law or regulation; (c) misrepresent the intended use of any product; (d) attempt to reverse engineer, interfere with, or disrupt the Site; or (e) use the Site to transmit malicious code or unsolicited communications.

8. Intellectual Property

All Site content, including branding, text, graphics, product photography, certificates of analysis, and code, is owned by Metracore Labs or its licensors and protected by intellectual property law. You may not reproduce, distribute, or create derivative works without prior written permission.

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRACORE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Metracore Labs, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from your misuse of any product, violation of these Terms, or violation of any law or third-party right.

12. Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which Metracore Labs is headquartered, without regard to conflict-of-law rules. Any dispute shall be resolved by binding arbitration on an individual basis; class actions are waived to the fullest extent permitted by law.

13. Changes

We may update these Terms from time to time. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
